Guohua (Annie) Wu is a senior partner at JT&N, and leads JT&N's outbound investment practice. She is a recognized authority on public and private acquisitions, corporate finance, joint ventures, and finance matters and is an award winning attorney who is ranked by Chambers and Partners as a leading lawyer in Corporate and M&A, was a finalist for the PRC Deal Maker of the Year award by Asian Legal Business in 2013 and 2015, and has been recognized as an Asialaw Leading Lawyer (in the Corporate & M&A category) by Asialaw Leading Lawyers since 2014.
Ms. Wu practiced law for about ten years with two prestigious international law firms, Sullivan and Cromwell (New York) and Kirkland and Ellis (Chicago). Prior to joining Jincheng, Tongda & Neal, she was a partner in the Beijing office of Paul Hastings & Janovsky LLP. Ms. Wu brings energy and a drive for perfection that allows her to provide legal services to a broad range of clients, and at a level that is typical of top-tier international law firms.
Ms. Wu is licensed to practice law in China and the states of New York and Illinois, and is a member of the United States Supreme Court Bar. Jincheng, Tongda & Neal has given her broader access to both the large domestic Chinese market as well as cross border transactions.
Ms. Wu has extensive experience in representing multinational conglomerates and foreign firms seeking to engage in foreign direct investment (FDI), joint ventures (JV), or seeking legal and operational advice on any of their operations. She is familiar with the internal procedures and legal service expectations of multinational conglomerates. Additionally, she has a unique ability to explain the reality of working within the Chinese legal and social framework in terms easily understandable by her foreign clients.
Ms. Wu specializes in representing Chinese state-owned companies and privately held companies in their investment activities throughout the world, including the U.S., Europe, Canada, Australia, Mongolia, South Africa. In 2012 she acted as lead counsel to the Aluminum Corporation of China Limited (the second largest producer of aluminum in the world) in its proposed takeover bid for SouthGobi Resources. The total deal value was USD $924 million, and it involved major global players including Rio Tinto and Ivanhoe Mines. Ms. Wu also served as lead counsel to a China consortium comprising Hebei Steel and Iron Group in the acquisition of Rio Tinto’s 74.5% equity interest in Palabora Mining Company Limited. The aggregate consideration of the acquisition is approximately USD $480 million, and the total deal size taking into account the proposed delisting of PMC is approximately USD $600 million (on-going).
