Liu Hongyu is a member of the Management Committee of the firm and was one of the founders of Tongda Law Firm in 1992. Her practice spans finance, securities, capital markets and real estate, and she is qualified to practice in the securities field and futures field by the China Securities Regulatory Commission (CSRC) and Ministry of Justice respectively. Widely recognized as one of the leading bank and financial institution lawyers in China, Ms Liu has an active practice advising banking clients on the full range of bank regulatory and finance issues and has particular expertise in innovative businesses such as the credit appraisal of foreign-related projects, asset securitization, design of guarantee plans and appraisal of financial derivatives.

Ms Liu also acts as regular legal counsel to major corporations and institutions in connection with their M&A, restructuring, financing, and domestic listings, with a focus on the government regulatory and supervisory practices bearing on such transactions.

Ms Liu’s clients include leading banks and major non-bank financial institutions, large-scale PRC state-owned enterprises, listed firms and many of China’s most important publicly-held companies, including China Minsheng Bank, Industrial and Commercial Bank of China (ICBC), Agricultural Bank of China, China Development Bank, the Bank of China, Beijing Bank, ChinaLife Insurance Co., Guangdong Wanjiale Co., China Power Finance Company, Huarong Trust and Investment Co., Xinda Asset Management Company, Huarong Asset Management Company, Great Wall Asset Management Company, China Petroleum Corporation (Sinopec), China National Power Company, China Huaneng Group, Longtan Hydropower Station, Founder Group Corporation, Founder Securities Co. Ltd., Shanghai Founder Yanzhong Science & Technology Group, Shenzhen Datong Co. and Beijing Vantone Real Estate Development Company.

Ms Liu is a member of the 11th National Committee of the Chinese People’s Political Consultative Conference; and has been a delegate to the 12th and 13th People’s Congress of Beijing since 2003. Ms Liu also acted as legal advisor to the 2008 Olympic Games and the China National Convention.

  Acting as legal counsel to the borrower in a RMB 6 billion syndicated loan project
  Advising China Development Bank on its major loan projects, involving major national or local infrastructure construction and the support of leading enterprises in various industries with international competition capacity, on loans involved valued at RMB 10 billion
  Representing Agricultural Bank of China for nearly 10 years, for whom Ms Liu designed a set of working procedures and content including financial business supervision, creation of standard banking and financial documentation, trade financing, debt redemption, syndicated loan and commercial financing
  Acting as a member of the legal team for the China Development Bank “Project Step Out”. The project was launched to encourage domestic enterprises to “step out” to develop overseas energy and important mineral resources and to find a solution to the resource bottleneck arising from the rapid development of the domestic economy. The team provided various legal services including offshore legal investment environment due diligence investigation, offshore loan project due diligence, legal appraisal of foreign-related loan plans, and legal appraisal of guarantee systems and risk prevention

  Legal counsel to the Founder Group Corporation in its takeover of Zhejiang Securities Co. Ltd. Ms Liu also assisted Founder to obtain exemption from an administrative penalty of RMB 540 million
  Legal counsel to the Founder Group Corporation in its takeover, debt restructuring and debt exemption of Taiyang Securities Co. Ltd

  Participation in the RMB 2 billion liquidation and bankruptcy of Centralgate Securities Co.

  Principal outside counsel to Jingwei Textile Machinery Co. Ltd.
  Advised China Communications Construction Company Ltd. on the separation of its main and supplementary businesses

  Legal advisor to the Olympic Games project China National Convention Center and the construction of its ancillary equipment and venues
  Advised on the construction of the corporate headquarters of the Beijing Bank

  Represented the plaintiff in the RMB 200 million dissolution and liquidation of Beijing Yinxin Investment Development Co. Ltd., the first “shareholder deadlock” case heard by the Beijing High Court after implementation of the new Company Law
  Represented the largest trust company in northeast China and its affiliated companies in a RMB 123 million property ownership litigation
• Labor and Employee Welfare
  Represented Xinjin Road Construction Machinery Factory under China Communications Construction Company Ltd. in the separation of major and supplementary businesses and system reform of the supplementary businesses
  Represented China Railway Express Logistics. Co. Ltd. in its corporate restructuring, including employee allocation and asset clearing. The company’s more than 600 employees in active service were properly allocated, accounts payable of approximately RMB 200 million were successfully cleared and the company realized a smooth restructuring process
• Intellectual Property
  Represented China Railway Express Co. Ltd. in a dispute with Beijing China Railway Express Co. on the trademark “China Railway” in front of the PRC Trademark Appraisal and Adjudication Committee
  Represented China Football Industrial Development Co. Ltd. in a dispute with Hunan Liuyanghe Liquor Industry Co. Ltd. in connection with a sports sponsorship contract
